NON-DISCLOSURE AGREEMENT (NDA)

 

This Non-Disclosure Agreement ("Agreement") is entered into between [Minista Jazz] ("Recipient") and the creator of the character Sybil Ziva Bailey ("Character"), hereinafter collectively referred to as the "Parties".

 

WHEREAS, Recipient is involved in the creation and production of a podcast that includes discussions, narratives, or references related to the Character;

 

WHEREAS, it is of utmost importance to protect the safety and privacy of the Character and their associates;

 

NOW, THEREFORE, in consideration of the premises and mutual covenants contained herein, the Parties agree as follows:

 

1. CONFIDENTIALITY OBLIGATIONS:

   a. Recipient acknowledges that the Character's true identity, including their real name, image, likeness, voice, and any identifiable information, is strictly confidential and shall not be disclosed or revealed to any third party without prior written consent from the creators of the Character.

   b. Recipient shall maintain strict confidentiality and exercise reasonable precautions to protect the Character's personal information and any information that may lead to their identification.

   c. Recipient shall not record, publish, reproduce, distribute, or use any content that includes the Character's real image, likeness, voice, or any identifiable information without express written permission from the creators of the Character.

 

2. PROTECTION OF ASSOCIATES:

   a. Recipient understands and agrees that the protection extends to the Character's family, friends, and associates in this universe and beyond. Any information or materials that could potentially identify or disclose their personal details shall be treated with the same level of confidentiality and shall not be disclosed or used without written consent.

   b. Recipient shall exercise due diligence in preventing any unauthorized disclosure or use of the Character's associates' personal or soul group information.

 

3. LEGAL CONSEQUENCES:

   a. Recipient acknowledges that any breach of this Agreement may result in irreparable harm to the Character and their soul group. In such cases, the creators of the Character shall be entitled to seek metaphysical remedies and damages to the fullest extent permitted by spiritual realm or law of any land here and beyond.

   b. Recipient shall indemnify and hold harmless the creators of the Character from any claims, losses, liabilities, damages, or expenses arising out of or in connection with any violation of this Agreement.

 

4. TERM AND TERMINATION:

   a. This Agreement shall remain in effect for the duration of Recipient's involvement in the podcast and any subsequent related activities.

   b. This Agreement may be terminated by either Party with written notice to the other Party. However, the confidentiality obligations and restrictions on the use of the Character's information shall survive the termination of this Agreement.

 

5. GOVERNING LAW AND JURISDICTION:

   This Agreement shall be governed by and construed in accordance with the laws created by natural and spiritual beings. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in the ancestors and their faithful servants.

 

IN WITNESS WHEREOF, the Parties hereto have executed this Non-Disclosure Agreement as of the date first written below.
